These Terms of Service ("Terms") govern access to and use of TheraMemory ("Service") by professional users, including therapists, psychologists, coaches, consultants, and similar practitioners. By creating an account, signing in, or using the Service, you agree to these Terms.
1. Service
TheraMemory provides web software for professional documentation workflows, including post-session notes, client context, structured AI-assisted drafts, reminders, and related workspace tools.
TheraMemory does not provide therapy, medical advice, diagnosis, treatment, crisis support, or emergency services. It is not a medical device and is not a substitute for professional judgment.
2. Important limitations
- TheraMemory is not offered as HIPAA-compliant.
- Do not upload, store, or process PHI or directly identifying health information in the Service.
- AI outputs are assistive drafts only and may be incomplete or inaccurate.
- You are responsible for reviewing all outputs before using them professionally.
- You are responsible for complying with laws, professional rules, and client consent requirements that apply to your practice.
3. Account and Google Sign-In
You may create or access an account using email-based authentication or Google Sign-In, if available. When you use Google Sign-In, you authorize TheraMemory to receive the Google user data described in our Privacy Policy for authentication, account management, and security.
You must provide accurate account information, keep credentials secure, and promptly notify us of unauthorized access. You are responsible for all activity under your account.
4. User content and permissions
You retain rights to the content you enter into the Service. You grant TheraMemory a limited license to host, store, display, process, secure, back up, and transmit your content only as needed to provide, maintain, support, and improve the Service and to comply with these Terms.
You represent that you have all rights, permissions, notices, and consents required to enter and process any data in the Service.
5. Privacy and Google user data
Our Privacy Policy explains how we collect, use, store, share, retain, and delete data, including Google user data obtained through Google Sign-In or other Google OAuth flows.
TheraMemory's use of Google user data is limited to disclosed user-facing features and must comply with the Google API Services User Data Policy, including the Limited Use requirements. We do not sell Google user data, use it for advertising, or transfer it to data brokers.
6. AI features
AI features are optional and run only when you choose to use them. AI outputs are generated from the content you submit and are provided "as is" for drafting, organization, and review support. You must not rely on AI outputs as professional, medical, legal, financial, or emergency advice.
Do not use AI features for crisis situations, emergency triage, diagnosis, treatment decisions, or any workflow where an unreviewed error could harm a person.
7. Acceptable use
You must not:
- use the Service unlawfully or in violation of professional duties;
- upload PHI, unlawful content, malware, or content that violates third-party rights;
- attempt to access accounts, systems, data, or APIs without authorization;
- interfere with the Service, bypass limits, scrape, reverse engineer, or overload infrastructure;
- misrepresent your identity or your authority to process data;
- use the Service to create, support, or automate deceptive, harmful, discriminatory, or abusive activity.
We may suspend or terminate access if we reasonably believe these Terms are violated or if needed to protect the Service, users, or third parties.
8. Payments and subscriptions
Paid plans, limits, renewal terms, taxes, and billing periods are shown in the product or checkout flow. Payments may be processed by third-party providers. Unless required by law or expressly stated otherwise, fees for a started billing period are non-refundable.
9. Service changes
We may add, change, suspend, or discontinue features, limits, integrations, and legal documents. Material updates will be published with a new version or effective date.
10. Security
We use reasonable safeguards to protect the Service and user data. You acknowledge that no system is perfectly secure and that you are responsible for using the Service in a way appropriate for the sensitivity of your data.
11. Disclaimers
The Service is provided "as is" and "as available" to the maximum extent permitted by law. We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, error-free operation, and accuracy of AI outputs.
12. Limitation of liability
To the maximum extent permitted by law, AZURE SERENITY LLC d/b/a TheraMemory is not liable for indirect, incidental, special, consequential, exemplary, punitive damages, lost profits, lost revenue, lost data, or reputational harm. Our total liability is limited to the amount you paid for the Service in the 12 months before the event giving rise to the claim, or USD 100 for free use.
13. Indemnity
You agree to indemnify and hold AZURE SERENITY LLC d/b/a TheraMemory harmless from claims, damages, losses, liabilities, and expenses arising from your content, your use of the Service, your violation of these Terms, your violation of law or professional obligations, or your lack of required permissions or consents.
14. Termination and deletion
You may stop using the Service or request account deletion at any time by contacting . We may suspend or terminate access for violations, security risk, non-payment, or legal reasons. Data deletion and retention are described in the Privacy Policy.
15. Governing law and disputes
Unless mandatory local law requires otherwise, these Terms are governed by the laws of Florida, USA. Before filing a claim, each party agrees to send notice of the dispute to the other party and attempt in good faith to resolve it within 30 days.

If any conflict exists between localized versions, the English version controls unless Provider designates another version in the Legal Center.
